The Senior Paralegal supports CHRISTUS attorneys in connection with contracts, transactions, operational, regulatory and corporate governanace matters, with an emphasis on agreement and other document review and preparation. This position works in conjunction with and under the supervision of designated attorneys, and may have significant interaction with outside counsel and other Legal department personnel. Must have the ability to exercise independent judgement as appropriate within the scope of assigned responsibilities.

  • Draft and review contracts and agreements in coordination with a supervising attorney, including agreements with physicians (such as for medical director and clinical services, employment, and on-call agreements), other vendor agreements, and real estate documents.
  • Work cooperatively with regional contract administrators to ensure contracts are being executed in a timely manner and executed contracts are being properly uploaded in the contract management system
  • Coordinate, review and prepare due diligence materials.
  • Research legal and regulatory issues, and prepare concise summaries of findings.
  • Work with transaction parties and escrow agents to prepare closings for real estate and corporate venture transactions.
  • In coordination with supervising attorney, independently review and draft documentation relevant to joint ventures, mergers and acquisitions, and other transactions, based on current forms and templates.
  • Prepare, review and update template contracts and other documents.
  • Draft and revise policies as directed by supervising attorney.
  • Actively participate in process improvement initiatives, including in the areas of contract management, policy development, legal operations, and diversity, equity and inclusion.
  • Research and summarize factual and historical data.
  • Draft corporate resolutions, Board presentations, and revisions to entity Bylaws and other organizational documents.
  • Perform investigation and respond to claims and disputes, including EEOC charges.
  • Manage employment claims in Risk Master or other appropriate databases.
  • Assist with the preparation of amendments to medical staff bylaws and provide support concerning medical staff issues.


  • Associate’s degree; Bachelor’s Degree desirable.
  • Paralegal Certificate from an accredited paralegal program desirable.
  • Excellent organization, writing and interpersonal skills.
  • Ability to prepare/send concise and professional emails and correspondence in connection with responsibilities, with minimal need for editing.
  • Ability to manage multiple priorities simultaneously and consistently meet deadlines.
  • Orientation to be proactive in preventing problems.
  • Demonstrated strong attention to detail and good follow-through on projects/issues.
  • Ability to handle and maintain confidential information in an appropriate and professional manner.
  • Exhibit discretion, good decision making, time management, and teamwork.
  • At least five years of relevant paralegal experience, in an in-house law department or law firm, managing a significant caseload of a variety of matters and responsible for support in all phases of litigation.
  • Proficiency in Word, database management, and Excel
  • Experience working with contract, data management, legal research and other electronic systems typically used by corporate law departments
